      Understanding & Updating Non-Profit Bylaws

      Please join us for a presentation on understanding and amending New York not-for-profit corporate bylaws, so that your organization can both plan ahead for future challenges and comply with the law.  Topics we plan to cover include: The importance of the By-laws to your organization, Compliance with the New York Revitalization Act, Bylaws Amendment Procedures, The distiction between Committees of the Corporation and Commitees of the Board, Quorum Requirements, and Conflict of Interest and Whistleblower Policies In 2016, the New York Legislature amended and Governor Cuomo signed into law a bill amending the Nonprofit Revitalization Act, which was originally passed in 2013. These changes in the Not-for-Profit Corporation Law (NPCL) in 2013 and 2016 mean that New York not-for-profit corporations that have failed to update their bylaws in recent years likely fall short of being in full compliance with New York law. Bylaws perform several other useful functions for not-for-profit corporations besides assisting with legal compliance. Bylaws can provide a guide for your organization about what to do in the events of internal disputes. They can help govern and structure your organization, and they can provide a clear roadmap for how to deal with challenges your organization could face in the future.
